We, Unicommerce e-Solutions Limited (formerly known as Unicommerce eSolutions Private Limited) hereinafter referred to as “Unicommerce”, “we”, “us”, “our”) is concerned about the privacy of the data shared by users and the information of users. We own, run, manage and operate the website (https://unicommerce.com//), associated mobile sites, mobile applications (collectively, the “Platform”), which provides solutions for electronic commerce enablement to its clients (“Services”). Some of our services can be accessed and availed by non-registered clients of the Platform/s, and the full extent and functionalities of our Platform/ s are available only to our registered clients.

We are responsible for processing of your personal data (as defined at law) as described in this Privacy Policy (Policy).
This Privacy Policy constitutes an integral part of the Agreements, Terms & conditions of use between Unicommerce and its users/ customers/clients. In case of any contradictions between the terms of this Privacy Policy and the terms of the Agreement / Terms and Conditions of use, the terms of this Privacy Policy shall prevail.

We provide our Platform for exploitation by our clients as per their requirements, and where the tools, solutions, applications provided by us are linked to this Privacy Policy, then this Policy applies to you. Where the offerings are provided by third parties, it is their own privacy practices and policies which will govern the handling and management of your personal data.

1. What Personal Data do we have about you?
1.1. As a user of the Platform and/ or Services, you are submitting the following data to us:
1.1.1. Demographic details – name, company name, address, phone number, e-mail address, username (password),;
1.1.2. Your customer(s) details- name, company name, address, phone number, e-mail address and other details of your customers
1.1.3. Billing details – Financial and billing information, viz., billing name and address, bank account information, credit or debit card details, subscription details, payment information;
1.1.4. Correspondence information – voice data, when you communicate with us via phone, e-mail, chat, or otherwise, you may provide details about yourself, any other information;
1.1.5. Any other information that you voluntarily provide to us.

1.2. As a user of the Platform and/ or Services, we collect the following data automatically, from you:
1.2.1. Device details – Internet Protocol Address, cookies, web beacons or similar technologies, location, browser type, plug-ins, integrations, Internet service provider, mobile carrier, operating system, system configuration information;
1.2.2. Usage details – the pages viewed, search inputs, advertising and language preferences, date and time stamps;
1.2.3. Phone numbers used to call our support teams;
1.2.4. Service metrics – your interactions with our Services, preferred settings, occurrences of errors for your account;

1.3. We may also collect data about you from other sources, and we process the same, on your behalf, to be able to allow our clients and users to use our Platform and Services;
1.3.1. We receive data when you visit, use or access products and services of our customers, either directly or through third parties they work with;
1.3.2. Any official representative of your organization, may provide your data to us for creation of log-ins, account, account credentials;
1.3.3. Social media networks which we interact with, through our profiles, channels, and similar avenues, as business accounts, may also collect your data and share with us, you will be governed by their privacy practices and policies;

1.4. We may seek additional data from you, to process, on your behalf, a specific request from your end, on an exceptional basis, and we shall seek your express consent prior to processing such data received from you. You will have the right to withdraw your consent for the processing of such data by us.

1.5. When you use third party services to connect with our Platform, you will be governed by the terms and policies of such third parties as well, on whom we exercise no control. We thereby urge you to familiarize yourself with the policies of such third parties before you proceed with availing yourself of their products and services.

When you are providing us or our associate companies with any personal data relating to other individuals, you hereby represent that you have the right/ authority to do so, and as necessary, have their requisite consent to authorize processing as per the terms of this Policy. 2. How we use your Personal Data?
2.1. We collect, process and use your personal data to provide you with our Platform and Services, and for the following purposes which also form our legal bases:
2.1.1. providing you access to our Platform/ Services, operate and manage the same; improve our Platform/ Services; promote its security;
2.1.2. Service Enhancement: To facilitate Your use of the Platform or other services of Unicommerce entities and in order to improve our existing services and provide You and/or Your end customers/users with new and relevant offerings, we may share the Information with external parties. These third parties may include research firms, analytics providers, and consultants.
2.1.3. to facilitate various programs ,initiatives and new products/services launched by Unicommerce or third party service providers and business associates
2.1.4. to conduct internal reviews and data analysis for the to improve the services, content and advertising on the Platform
2.1.5. create profiles for our customers and provide you with valid log-in credentials, profiles;
2.1.6. correspond with you, to be able to send you Platform/ Services related information, marketing or promotional information, via SMS, push notifications, e-mails, telephonic calls, chats;
2.1.7. call recordings are used to train our support staff, where required in law, we will allow you to object to the call being recorded;
2.1.8. manage customer support; contact us requests raised by you;
2.1.9. managing customer accounts, related billing / payment information,;
2.1.10. provide customized solutions or functionalities within our Platform;
2.1.11. comply with legal obligations, in cooperation with regulatory authorities, courts of law, governmental agencies, law enforcement agencies, or to perform a function under any applicable law, as a data controller/ fiduciary (by whatever name called in your jurisdiction, at law), or a data processor.
2.1.12. Marketing and Promotion:- We may share the Information with third parties such as marketing agencies, financial intermediaries, e-commerce platforms, advertising partners, third-party service providers and any other third party (ies), to undertake marketing and promotional activities. This includes but is not limited to sending You newsletters, promotional offers, providing marketing and services, product updates, event invitations, and other communications related to services by us or any third party partner of Unicommerce.
2.1.13. Unicommerce may share statistical data and other details (other than Your Personal Information) without Your express or implied consent to facilitate various programmes or initiatives launched by Unicommerce, its affiliates, agents, third party service providers, partners or banks & financial institutions, from time to time. We may transfer/disclose/share Information (other than Your Personal Information) to those parties who support our business, such as providing technical infrastructure services, analyzing how our services are used, measuring the effectiveness of advertisements, providing customer / buyer services, facilitating payments, or conducting academic research and surveys. These affiliates and third party service providers shall adhere to confidentiality obligations consistent with this Privacy Policy.
2.1.14. To create materials in relation to commercial events, workshops and conferences hosted by us.
2.1.15. You further agree that such disclosure, sharing and transfer of Your Personal Information and Non-Personal Information shall not cause any wrongful loss to You or to any third party, or any wrongful gain to us or to any third party

3. Cookies and Advertising.
3.1. We use cookies, web beacons, tags, pixels, or similar technologies, by themselves or in conjunction with cookies, to gather information about the use of our websites, and how our customers, and their end users, interact with our Platforms.
3.2. When you use our Platforms, we, or any party authorized, may place a cookie on your device, which will collect information about your activities across different sites. Cookies allow us to track use, infer browsing preferences, and improve and customize your browsing experience. We use both necessary, as well as functional cookies, to operate our Platform, and to offer certain improved functions, enhancements. We will seek your prior and specific consent, to enable and use functional cookies. 3.3. We will need your prior permissions and consent to be able to use advertising cookies, which enable us to place ads for our products or services which we think will be of interest to you.

We also engage third-party advertising networks that collect IP addresses and other information from web beacons on our Platform, from e-mails and on third-party websites. When we engage with such parties their usage of your data is restricted strictly to the purposes which are necessary and as consistent with this Policy.

4. Who do we share your Personal Data with?
4.1. We share your personal data only as per the terms of this Policy. Unicommerce shares your data only as described below who follow practices at least as protective or higher, as those described in this Policy. We share your personal data with:
4.1.1. Service providers – we contract with several service providers for the purposes of IT and system administration, hosting and infrastructure services, customer support, marketing and promotion services, new products/services offering, payment processing, marketing, research and analytics. We may also engage automated solution providers, AI engines to provide us with trends, analytics, predictions, automated responses, and such other use cases, we use them as per this Policy;
4.1.2. Customers – who avail our Platform/ Services, and if you are affiliated with them, we may share your data with them for your continued access to our Platform/ Services, to the extent that it is necessary to validate your account or provide access to or for enforcement of our practices and policies;
4.1.3. Professional advisers – we may share your personal data with professional advisers who are acting as service providers, joint controllers/ fiduciaries, lawyers, bankers, auditors, insurers, or other professionals providing consulting services, and to the extent that we are legally obliged to share, or have a legitimate interest in sharing your personal data with them;
4.1.4. Governmental requests and lawful purposes – we may share your information with regulatory authorities, law enforcement agencies, and such other governmental agencies, to comply with legal requirements, protect our rights, or in the event of a merger, acquisition, or sale of all or part of our business.

4.2. We may also share aggregated data sets, like usage data, for the purposes of helping Unicommerce in such analysis and improvements, and we may share such aggregated data in our regular course of business and we may share such information publicly to show any trends or general uptake of our Platform/ Services.

5. Sharing and Transfer of Information

You hereby unconditionally agree and permit Unicommerce to transfer, share, disclose or part with all or any of the Information, within and outside of the Republic of India to various Unicommerce entities and/or to third party service providers / partners / banks and financial institutions for one or more of the Purposes or as may be required by applicable law.
While providing PII over the Platform or any partner platforms or establishments, you consent to us (including our other corporate entities, affiliates, lending partners, technology partners, marketing channels, business partners and other third parties) to contact You through SMS, instant messaging apps, call and/or e-mail for the purposes specified in this Privacy Policy.

6. Cross Border Data Transfers.
6.1. Your information may be transferred to and stored in locations outside of the territory of India. We will do this only when the destination jurisdiction has an adequate and appropriate level of protection and where the transfer is lawful.
6.2. When we transfer your personal information from your Home Country (country, state, and city in which you are present) to the Alternate Country (another country, state, and city), we will comply with our legal and regulatory obligations in relation to your personal information, including having a lawful basis for transferring personal information and putting appropriate safeguards in place to ensure an adequate level of protection for the personal information. We will also ensure that the recipient in Alternate Country is obliged to protect your Personal Information at a standard of protection comparable to the protection under applicable laws. We do not transfer your personal information to such countries for which we are not authorized under the applicable laws.

In case of data of EU citizens, whenever we transfer personal information to countries outside of the European Economic Area or the UK, we ensure that the information is transferred in accordance with this Privacy Notice and as permitted by the applicable laws on data protection. We rely on European Commission adequacy decisions or use contracts with standard safeguards published by the European Commission.
6.4. In case of data of Indian citizens, we abide by the guidelines and directions issued by the Central Government and do not transfer your data to such jurisdictions, we are not authorized to.

7. Protected Users.
7.1. Our Platform/ Services are not intended for children and are aimed only at persons who have attained the age of majority in their jurisdiction. We sell children’s products for purchases to be made by adults, their lawful guardians. We do not knowingly collect or use personal information from children under this age. 7.2. If our Platform/Services are being availed by a person with disability (as defined under the laws of the land), then the lawful guardian of such persons are required to provide us with their verifiable consent, and it is the duty of the person to communicate to us of such access.

8.1. We secure your data by maintaining physical, electronic, and procedural safeguards in connection with the collection, storage, and disclosure of user’s personal data. 8.2. We urge you to ensure that when you access and use the Platform/ Services, you ensure that access to it is limited to your exclusive personal use only, and that you do not share any passwords, or access to others.

9. How long do we keep your data for?
9.1. We keep your personal information to enable your continued use of our Platform/ Services, for as long as it is required in order to fulfil the relevant purposes described in this Policy, and, as may be required by law such as for tax and accounting purposes, or as otherwise communicated to you. Where we provide you with any Platform/ Services, such as where you register, we will retain any information you provide to us at least for as long as we continue to provide that Platform/ Services to you.
9.2. If you withdraw your consent for specific purposes, we may not be able to give you access to our full Platform/ Services, and such withdrawal shall not affect the legality of the processing of the personal data based on consent before its withdrawal.
9.3. After expiry of the applicable and necessary retention timelines, your personal data will be deleted. If there is any data that we are unable, for technical reasons, to delete entirely from our systems, we will implement appropriate measures to prevent any further use of such data.

10. What are your rights and duties?
10.1. You have the right to:
10.1.1. access, update, correct the information you have provided to us;
10.1.2. withdraw your consent;
10.1.3. seek erasure of your information available with us, subject to such conditions as permissible in law;
10.1.4. have means available of grievance redressal;

11. EU General Data Protection Regulation and UK data protection regime – legal basis for processing.
11.1. Our legal basis for using your personal data, includes: (i) performance of a contract, this includes using your data for handling your orders, communicating with you; (ii) our legitimate interests and interests of our users, this includes data we use to improve our Services, and when we detect and prevent fraud and abuse in order to protect the security of our customers, ourselves, or others, and when we provide you with interest-based advertising; (iii) use your consent to process your data for any specific purposes; (iv) to comply with a legal obligations. These form our legal bases for processing of your personal data.

12. Changes to this Privacy Policy.
12.1. We may update this Privacy Policy to reflect changes in our practices and offerings. When we make significant changes, we will provide notice through our Platform. The version was last updated on 19.02.2024 and archived versions can be obtained by contacting us.
